By accessing or using the Services, submitting information through the Services, creating an account, requesting financial-product information, or otherwise interacting with the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

We reserve the right, in our discretion, to modify or update these Terms from time to time. When changes are made, we will revise the “Date of Last Revision” above and, when required or appropriate, provide notice through the Services, by email, or through another reasonable method.

Your continued use of the Services after revised Terms become effective constitutes your acceptance of the revised Terms.

Services Description

Aureon provides technology, information, tools, referral services, and access to a marketplace designed to assist consumers and businesses in identifying and evaluating potential financial products and services offered by independent third-party financial institutions and financial-service providers.

These third parties may include, without limitation:

• • Banks;
• • Credit unions;
• • Licensed lenders;
• • Credit card issuers;
• • Non-bank financial institutions;
• • Loan providers;
• • Home-equity providers;
• • Business-financing providers;
• • Financial technology companies; and
• • Other financial-product or financial-service providers

(collectively, “Financial Providers”).

Through the Services, users may obtain information regarding or request to be matched with Financial Providers offering products that may include personal loans, unsecured loans, credit cards, home-equity products, business financing, and other financial products that may be made available through the Aureon platform from time to time.

Aureon Is Not a Lender

Aureon Financial LLC is not a bank, lender, credit card issuer, or financial institution and does not make credit decisions, establish approval criteria, determine interest rates, issue loans or credit cards, or provide funding to applicants unless expressly disclosed otherwise in connection with a particular product.

Financial products accessed through the Services are offered and provided by independent Financial Providers.

Any loan, credit card, line of credit, financing arrangement, or other financial product for which you apply or that you ultimately receive is a transaction between you and the applicable Financial Provider.

Aureon does not guarantee that:

• • You will be matched with a Financial Provider;
• • You will qualify for financing;
• • You will be approved for a particular financial product;
• • You will receive a particular loan amount or credit limit;
• • You will receive a particular interest rate;
• • You will receive a particular repayment term;
• • You will receive any specific financial terms;
• • Funding will occur within a particular period of time; or
• • Any particular Financial Provider will approve your application.

All credit decisions, underwriting requirements, rates, fees, terms, credit limits, loan amounts, repayment schedules, approval standards, and other financial-product conditions are determined exclusively by the applicable Financial Provider.

Rates, terms, products, and eligibility requirements may change at any time and may not be available in all jurisdictions or to all applicants.

The Financial Providers accessible through Aureon do not necessarily represent every financial institution, lender, credit card issuer, or financial product available in the marketplace.

Aureon does not guarantee that any offer presented through the Services represents the lowest rate, lowest payment, lowest fee, highest credit limit, or most favorable financial product available to you.

You are responsible for evaluating each financial offer and determining whether it is appropriate for your individual circumstances.

You should carefully review all agreements, disclosures, rates, fees, repayment obligations, and other terms provided by the applicable Financial Provider before entering into any financial transaction.

Aureon may receive compensation from Financial Providers, merchants, affiliates, marketing partners, or other parties in connection with referrals, applications, funded transactions, approved accounts, or other activity generated through the Services.

You may be required to provide certain information in order to use some or all of the Services.

You agree that information you provide through the Services will be true, accurate, current, and complete to the best of your knowledge.

Information may include, depending on the financial product being requested:

• • Name;
• • Address;
• • Email address;
• • Telephone number;
• • Date of birth;
• • Employment information;
• • Income information;
• • Housing information;
• • Financial information;
• • Social Security number or other identification information;
• • Credit-related information; and
• • Other information reasonably required to evaluate or process your request.

Your information will be handled in accordance with our Privacy Policy and applicable law.

You agree to promptly update information when necessary to maintain its accuracy.

You must be at least 18 years of age, or the applicable age of majority in your jurisdiction if higher, to use the Services or submit a request for financial products.

By submitting an inquiry, request, prequalification form, application, or other information through the Services, you authorize Aureon to use and share information you provide as reasonably necessary to provide the Services.

This may include providing your information to one or more Financial Providers, technology providers, identity-verification providers, service providers, affiliates, marketing partners, or other parties involved in processing or evaluating your request, subject to our Privacy Policy and applicable law.

Information may be used to:

• • Identify potential Financial Providers;
• • Determine potential eligibility for financial products;
• • Verify your identity;
• • Prevent fraud;
• • Evaluate income or indebtedness;
• • Calculate debt-to-income ratios;
• • Conduct prequalification;
• • Present potential financial products;
• • Facilitate applications;
• • Communicate with you regarding your request; and
• • Perform other activities reasonably related to providing the Services.

Where authorized by you and permitted by applicable law, Financial Providers may obtain consumer reports, credit reports, credit scores, or related information from consumer reporting agencies such as Experian, Equifax, and TransUnion.

Different Financial Providers may use different methods of evaluating creditworthiness.

Depending upon the Financial Provider and financial product, a credit inquiry may constitute either a soft inquiry or a hard inquiry. You should review the applicable Financial Provider's disclosures before proceeding.

Aureon reserves the right to modify, suspend, replace, limit, or discontinue any portion of the Services at any time, temporarily or permanently, with or without notice, subject to applicable law.

The availability of Financial Providers, financial products, functionality, application processes, eligibility requirements, and other aspects of the Services may change at any time.

Aureon will not be liable to you or any third party for any modification, suspension, limitation, or discontinuation of the Services except where otherwise required by applicable law.

Aureon may establish practices and limitations concerning the use, retention, and storage of information submitted through or generated by the Services.

By submitting information through the Services, you authorize Aureon to retain information in accordance with our Privacy Policy, contractual obligations, legitimate business requirements, security practices, and applicable law.

Aureon may share submitted information with Financial Providers and other authorized parties as necessary to provide the Services.

Although Aureon employs commercially reasonable safeguards, no electronic storage or transmission system can be guaranteed to be completely secure.

Certain Services may be accessible through smartphones, tablets, or other mobile devices.

Your wireless provider's standard messaging charges, data charges, roaming charges, and other fees may apply.

Certain features may not be supported by all devices, operating systems, carriers, or geographic locations.

If you provide a mobile telephone number through the Services, Aureon and authorized Financial Providers may communicate with you regarding your inquiry or financial-product request as permitted by applicable law and your communications consent.

If your telephone number changes or is deactivated, you should promptly update your information so communications intended for you are not delivered to another person.

By using the Services and providing your email address, you consent to receive electronic communications relating to the Services, your account, applications, requests, security, privacy, administrative matters, financial-product opportunities, and transactions as permitted by applicable law.

Communications may be delivered by:

• • Website notices;
• • Online portals;
• • Electronic documents;
• • SMS or text message, where permitted and consented to; or
• • Other electronic communication methods.

Certain notices may also be available in paper form upon request where required by applicable law.

User Conduct

You are solely responsible for information, data, documents, text, files, messages, or other materials you submit, upload, transmit, or otherwise provide through the Services (“User Content”).

You agree not to use the Services to:

2. • Submit information that is false, fraudulent, misleading, or materially inaccurate;

6. • Submit viruses, malicious software, corrupted files, malware, or other technology intended to interfere with or damage computers, networks, systems, or telecommunications equipment;
7. • Attempt to gain unauthorized access to the Services, another person's account, computer systems, databases, networks, or restricted areas;
8. • Interfere with or disrupt the Services or servers or networks associated with the Services;
9. • Use automated scraping, harvesting, robots, spiders, data-mining tools, or similar technology without Aureon's prior written permission;
10. • Harvest or collect contact information of other users for unsolicited communications;
11. • Engage in fraud, criminal activity, abusive conduct, or unlawful solicitation;
12. • Submit material that is threatening, abusive, defamatory, obscene, unlawfully discriminatory, invasive of privacy, or otherwise unlawful; or
13. • Attempt to obtain information or materials through methods not intentionally made available through the Services.

Aureon reserves the right to investigate suspected violations and take appropriate action, including suspending access, terminating accounts, removing content, restricting access, or referring unlawful activity to law-enforcement authorities.

The Services may be accessible from locations outside the United States.

Financial products, eligibility requirements, disclosures, and Services may vary by country, province, state, or jurisdiction.

Accessing the Services from a particular jurisdiction does not mean that Aureon or any Financial Provider offers products or services in that jurisdiction.

You are responsible for complying with applicable laws governing your use of the Services.

Software and technology associated with the Services may be subject to U.S. export-control laws and other applicable trade regulations.

Except as expressly authorized by Aureon, you may not reproduce, distribute, license, publish, sell, resell, commercially exploit, copy, modify, or create derivative works from the Services or Service Content.

This restriction does not apply to content you legally own and submit through the Services.

Merchants, affiliates, partners, or other businesses operating under written agreements with Aureon may use Aureon Services as permitted under their applicable agreements.

Certain areas of the Services may require an account, username, password, authentication code, or other security credentials.

You are responsible for maintaining the confidentiality of your credentials and for activities conducted through your account.

You agree to notify Aureon promptly if you become aware of unauthorized account access, credential theft, or another security breach involving your account.

Aureon may require additional authentication or security verification before granting access to certain functions or information.

Aureon may provide opportunities for you to submit comments, reviews, survey responses, questions, suggestions, or other feedback (“Feedback”).

By voluntarily providing Feedback, you grant Aureon permission to use that Feedback for legitimate business purposes, including improving, developing, promoting, and evaluating the Services, subject to applicable law and our Privacy Policy.

You should not include highly sensitive information such as account passwords, complete bank-account credentials, or other information that is unnecessary to provide Feedback.

Service Content, Software, and Trademarks

The Services may include content, technology, software, designs, graphics, logos, trademarks, databases, interfaces, text, processes, and other materials (“Service Content”) protected by copyright, trademark, patent, trade-secret, or other intellectual-property laws.

Except where expressly permitted by Aureon, you may not:

• • Modify;
• • Frame;
• • Scrape;
• • Rent;
• • Lease;
• • Sell;
• • Distribute;
• • Reverse engineer;
• • Decompile;
• • Create derivative works from; or
• • Commercially exploit

the Services or Service Content.

The Aureon Financial name, Aureon logos, and related names, marks, branding, and designs are trademarks or service marks of Aureon or its licensors.

Other trademarks appearing through the Services remain the property of their respective owners.

Nothing contained in these Terms grants you a license or right to use Aureon's trademarks without Aureon's prior written consent.

The Services may display or provide information supplied by Financial Providers or other third parties.

Aureon does not control all third-party content and does not guarantee its accuracy, completeness, availability, or reliability.

Financial-product details may change without notice.

You are responsible for reviewing the Financial Provider's official disclosures and contractual documentation before entering into a financial transaction.

Aureon may remove third-party content that violates these Terms, applicable law, or Aureon's policies.

You represent and warrant that you have the legal right to provide any User Content submitted through the Services.

You grant Aureon and its service providers a nonexclusive, worldwide, royalty-free license to process, transmit, reproduce, store, and otherwise use User Content as reasonably necessary to operate the Services, process your request, comply with applicable law, prevent fraud, maintain records, and fulfill contractual obligations.

This authorization does not transfer ownership of your User Content to Aureon.

Aureon may preserve or disclose User Content when reasonably necessary to:

• • Comply with legal process;
• • Respond to lawful governmental requests;
• • Enforce these Terms;
• • Investigate fraud or security incidents;
• • Respond to claims regarding third-party rights; or
• • Protect Aureon, its users, Financial Providers, or the public.

The Services may contain links to or integrations with websites, applications, or services operated by Financial Providers or other third parties.

Aureon does not control those third-party services.

A link, integration, referral, or connection does not necessarily constitute Aureon's endorsement of the third party.

Your use of third-party services is subject to that party's own agreements, disclosures, privacy policies, and terms.

Transactions with Financial Providers are between you and the applicable Financial Provider.

To the maximum extent permitted by applicable law, Aureon will not be responsible for losses resulting from your use of or reliance upon third-party websites, products, or services.

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Aureon, its affiliates, and their respective officers, directors, employees, representatives, service providers, contractors, and agents from claims, liabilities, damages, losses, costs, and reasonable attorneys' fees arising from or relating to:

• • Your misuse of the Services;
• • Your User Content;
• • Your violation of these Terms;
• • Fraudulent information supplied by you;
• • Your violation of applicable law; or
• • Your infringement of another person's rights.

Nothing in this section limits rights that cannot lawfully be waived or restricted.

E-Consent

Introduction

You are submitting a request through Aureon to be matched with one or more Financial Providers.

In order to evaluate your request and potentially provide you with a financial product, Financial Providers may require your consent to use and accept electronic signatures, records, notices, and disclosures (“E-Consent”).

By clicking a link, button, checkbox, or other electronic method indicating your acceptance, you acknowledge receiving this E-Consent and consent to conduct transactions using electronic signatures, electronic disclosures, electronic records, and electronic contract documents (“Disclosures”).

Paper Copies

You may request paper copies of Disclosures by contacting Aureon or the applicable Financial Provider.

Where required by applicable law, paper copies will be provided at no charge.

Scope of Consent

Your E-Consent applies to electronic interactions among you, Aureon, and applicable Financial Providers relating to your request or use of the Services.

Electronic interactions may occur through computers, smartphones, tablets, websites, email, portals, or other electronic systems.

Disclosures may be provided electronically through Aureon's website, a Financial Provider's website, email, online portals, or other electronic means.

Hardware and Software Requirements

To access and retain electronic Disclosures, you generally need:

• • A computer, smartphone, tablet, or similar Internet-enabled device;
• • A current Internet browser;
• • A valid email account;
• • Software capable of viewing commonly used electronic documents, including PDF files when applicable; and
• • A method of storing or printing documents for future reference.

Withdrawal of Consent

Your consent relating to Aureon's initial matching or referral process may apply to a one-time transaction that cannot be withdrawn retroactively after the transaction has occurred.

If you are matched with a Financial Provider, you may contact Aureon or the applicable Financial Provider regarding withdrawal of your consent for future electronic communications or transactions.

Withdrawing consent will not affect the validity or enforceability of electronic records, signatures, disclosures, or transactions completed before the withdrawal became effective.

Withdrawal of electronic consent may prevent Aureon or a Financial Provider from completing or continuing certain electronically delivered services.

Changes to Contact Information

You are responsible for keeping your email address, mailing address, telephone number, and other relevant contact information current.

You may update your information through the applicable online portal or by contacting Aureon or the applicable Financial Provider.

Ability to Access Disclosures

BY ELECTRONICALLY ACCEPTING THESE TERMS, YOU ACKNOWLEDGE THAT YOU HAVE THE ABILITY TO ACCESS, VIEW, AND RETAIN ELECTRONIC DISCLOSURES IN THE FORMATS DESCRIBED ABOVE.

Consent

BY ELECTRONICALLY ACCEPTING THESE TERMS, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THE INFORMATION REGARDING ELECTRONIC SIGNATURES, ELECTRONIC RECORDS, ELECTRONIC DISCLOSURES, AND CONDUCTING BUSINESS ELECTRONICALLY.

YOU CONSENT TO USING ELECTRONIC SIGNATURES, RECEIVING DISCLOSURES ELECTRONICALLY, AND CONDUCTING BUSINESS ELECTRONICALLY WITH AUREON AND APPLICABLE FINANCIAL PROVIDERS.

Where you provide express written consent, you authorize Aureon, participating Financial Providers, and authorized service providers to contact you at the telephone number or numbers you provide regarding your inquiry, application, financial-product request, or potentially relevant financial products.

Subject to applicable law and the consent you provide, communications may include:

• • Telephone calls;
• • SMS text messages;
• • MMS messages;
• • Automated telephone dialing technology;
• • Artificial or prerecorded voice messages; and
• • Similar communications technologies.

Message and data rates may apply.

Where permitted by applicable law, you may be contacted at a number you provide even if that number appears on a state or federal Do-Not-Call registry, to the extent permitted by the consent you have provided.

CONSENT TO RECEIVE MARKETING CALLS OR TEXT MESSAGES IS NOT A CONDITION OF PURCHASING GOODS OR SERVICES OR OBTAINING A FINANCIAL PRODUCT WHERE PROHIBITED BY APPLICABLE LAW.

You may revoke communications consent as permitted by applicable law and the instructions provided in the applicable communication.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

AUREON DISCLAIMS WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

Aureon does not warrant that:

• • The Services will meet every user's requirements;
• • The Services will always be available, uninterrupted, secure, or error-free;
• • Financial Provider information will always be complete, current, or error-free;
• • You will qualify for any financial product;
• • You will receive any specific rate, loan amount, term, payment, or credit limit;
• • A Financial Provider will approve your request; or
• • Any financial product obtained through the Services will meet your expectations.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUREON WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, LOSS OF BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES ARISING FROM OR RELATING TO THE SERVICES.

This limitation includes damages resulting from:

• • Use of or inability to use the Services;
• • Financial Provider decisions;
• • Financial products obtained through Financial Providers;
• • Third-party websites or services;
• • Unauthorized access to information;
• • Statements or conduct of third parties;
• • Interruptions or errors in the Services; or
• • Other matters relating to your use of the Services.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUREON'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not permit certain limitations or exclusions of liability. In those jurisdictions, these limitations will apply only to the extent permitted by law.

If you are dissatisfied with the Services, your primary remedy is to discontinue using the Services, except for rights or remedies that applicable law does not permit you to waive.

Except where prohibited by applicable law, any controversy, dispute, or claim arising from or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its applicable rules.

The arbitration will be conducted before one neutral arbitrator.

Unless the parties agree otherwise or applicable law requires otherwise, the arbitration shall take place in Florida.

The arbitrator may award relief available under applicable law.

Either party may seek temporary, preliminary, or injunctive relief from a court of competent jurisdiction where necessary to protect its rights or property pending arbitration.

Any arbitration provision contained in these Terms is intended to be enforced only to the extent permitted by applicable law.

Aureon may suspend, restrict, or terminate your access to the Services if Aureon reasonably believes that:

• • You have violated these Terms;
• • You have engaged in fraudulent, abusive, or illegal activity;
• • Your use creates a security risk;
• • Your account has been compromised; or
• • Suspension or termination is otherwise reasonably necessary to protect Aureon, Financial Providers, users, or third parties.

Aureon may discontinue all or part of the Services at any time.

Where appropriate, suspected fraudulent or illegal activity may be referred to law-enforcement or regulatory authorities.

Termination does not affect rights, obligations, consents, authorizations, or liabilities that accrued before termination.

You acknowledge that Financial Providers are independent third parties.

Any financial product, loan, credit card, line of credit, account, or financing agreement you obtain from a Financial Provider is governed by your agreement with that provider.

You are responsible for addressing disputes concerning a Financial Provider's:

• • Credit decision;
• • Interest rate;
• • Fees;
• • Repayment terms;
• • Funding;
• • Account servicing;
• • Credit reporting;
• • Collections;
• • Payment processing; or

Other financial-product terms

directly with the Financial Provider.

Aureon may assist in facilitating communications where appropriate but is not required to participate in disputes between you and a Financial Provider.

These Terms, together with our Privacy Policy and any additional disclosures or agreements applicable to specific Services, constitute the agreement between you and Aureon regarding your use of the Services.

These Terms supersede prior agreements relating specifically to your use of the Services, except where another written agreement expressly provides otherwise.

You may also be subject to separate terms from Financial Providers, merchants, affiliates, technology providers, or other third parties.

Governing Law

Except where applicable consumer-protection law requires otherwise, these Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

For disputes not subject to arbitration, you agree to submit to the jurisdiction of appropriate state and federal courts located in Florida, subject to applicable law.

Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

No Waiver

Aureon's failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.

Assignment

You may not assign your rights or obligations under these Terms without Aureon's written consent.

Aureon may assign or transfer these Terms in connection with a corporate reorganization, acquisition, merger, sale of assets, financing transaction, or other legitimate business transaction, subject to applicable law.

Section Headings

Section headings are provided for convenience and do not alter the interpretation of these Terms.

Electronic Records

Electronic records relating to these Terms and the Services may be used and maintained to the extent permitted by applicable law.

Aureon respects the privacy of its users.

Information collected through the Services is handled in accordance with Aureon's Privacy Policy and applicable privacy and data-protection laws.

By using the Services and submitting information, you acknowledge the collection, use, processing, retention, and disclosure of information as described in the applicable Privacy Policy and disclosures presented to you.
